Bio

Patrick Cornelius has extensive experience leading M&A transactions for acquirers and targets, as well as advising clients on joint venture, capital raising and investments, recapitalizations, and strategic relationship transactions across various industries. He also advises clients in the healthcare space on shared savings and risk-based compensation arrangements, other payor-provider contracting, and hospital-physician alignment strategies. He is knowledgeable in virtually all aspects of related affiliations, commercial contracting, licensing, technology development and commercialization. Because he takes the time to listen to and learn about his clients – who are mainly in the healthcare, financial services, life sciences and biotechnology, insurance, energy, and aviation industries – Pat develops long-term relationships and can represent various entities and even startups in a wide range of corporate governance and general business matters, including addressing applicable regulatory considerations. Additionally, Pat regularly represents clients in various technology-related matters involving healthcare information, financial and specialty technologies, including the establishment of R&D programs and the negotiation of R&D agreements, as well as related technology license and service agreements. Through this work, he is able to assist investors in streamlining efficiencies to improve outcomes of payment delivery systems. Pat has been fortunate to travel, study and live abroad. He enjoys learning about people, languages and cultures and believes those experiences make him a better practitioner, enabling him to more easily identify and understand different and unique business cultures. Before joining Barnes & Thornburg, Pat practiced with an international law firm and was the assistant general counsel for the former America Online, Inc., where he served as primary counsel to the CompuServe and MapQuest businesses.
