Curt Hidde M&A experience ranges from representing fast-growing tech and life sciences businesses to Fortune 500 companies, spanning virtually all industries and all transaction structures. In his securities practice, he provides legal counsel on a wide range of public and private securities law issues and transactions, including secondary public offerings of debt and equity securities, ongoing SEC reporting under the Securities Exchange Act of 1934 (10-Ks, 10-Qs, 8-Ks, and proxy statements), defending and launching tender and takeover offers, along with going private transactions and private placements of debt and equity securities. Curt also has significant experience representing banks and insurance companies in their corporate and securities transactions. He frequently advises such clients on the regulatory issues that govern their day-to-day operations, merger and acquisition activities, and capital raising. Curt is also experienced in transactions in the alternative energy industry and represents utilities and other entities in negotiating the sophisticated and specialized project agreements that are inherent in renewable energy projects, such as site control agreements, power purchase agreements, energy supply agreements, engineering procurement and construction (EPC) agreements, as well as ongoing operations and maintenance agreements for such facilities.
