Roger Davies is a leading corporate and securities transactions specialist, well known for his technical expertise, deal track record and practical approach to matters. He has more than 25 years' experience in public company takeovers and mergers, acting for both bidders and targets, and in equity and hybrid securities offerings, acting for issuers and investment banks. He has particular expertise in the natural resources industries, acting on domestic and cross-border transactions in jurisdictions and markets including Africa, Australia, Canada, China and the UK. Some of Roger's high-profile and complex transactions include acting for Macmahon Holdings Limited over a number of years on contested M&A transactions; advising Sirius Resources NL on its A$1.8 billion acquisition by Independence Group NL and a simultaneous demerger and ASX listing of a separate company (achieved via separate schemes of arrangement); advising Iluka Resources Limited on its A$375m acquisition of Sierra Rutile Limited by way of statutory merger under the BVI Companies Act; and advising Sibanye Gold Limited of South Africa on the A$413 million acquisition of Aquarius Platinum Limited. Roger is a trusted adviser to listed public company boards, advising on matters of transactional strategy, as well as corporate governance issues, including market disclosure and shareholder communications and relations.
