Reidar Smedsvig is part of the Dispute Resolution, Litigation and Construction department, as well as the M&A department. Smedsvig has broad and extensive experience within many parts of the business law field. In particular, he works within the fields of transactions and corporate law, as well as delivery, fabrication and construction contracts. His work comprises counselling as well as dispute resolution and litigation. Within transactions, Smedsvig has been in charge of and/or assisted in a number of large and complex share and business sales, as well as financing, investment and restructuring projects. He has assisted throughout the process from structuring, via due diligence review, contract drafting and negotiations, to implementation and complementary work. Within corporate law, Smedsvig has extensive experience of advising and following up boards and general management on an ongoing basis, and has in-depth knowledge of questions related to management’s obligation to act and liability in financially distressed companies. Transactions and corporate law often require a high degree of coordination with and management of specialists within other legal fields, such as tax law, financing law, employment law, competition law and various regulatory issues, as well as specialists within financial and accounting matters. Smedsvig has both been in charge of and been part of such processes. Within the contract field, Smedsvig has comprehensive experience with contract drafting and negotiations, follow-up of the contract work including handling of variations, as well as dispute resolution and litigation after finalisation of the contract work. The work has largely been related to deliveries to the oil and gas industry, as well as onshore construction projects, etc. Smedsvig has been involved in a number of large disputes and meets before ordinary as well as arbitration courts. In recent years, he has worked extensively on disputes concerning issues pertaining to share transaction settlements, liability under indemnities and warranties, board and management liability in the event of bankruptcy, settlement upon termination due to breach of purchase and EPC contracts, final settlement of construction contracts, etc.
