Matthew Brohm Bio

Matt is a partner in the Healthcare and Corporate & Finance practice groups and serves as co-chair of the firm’s Healthcare Private Equity team. With more than 15 years of experience, Matt focuses his practice on corporate transactions in the healthcare industry, representing clients nationwide in mergers, acquisitions, joint ventures, and complex organizational restructurings. He has guided private equity firms, health systems, hospitals, post-acute providers, behavioral health organizations, and physician practice management companies through hundreds of transactions. Matt’s work spans the full continuum of care — from nursing homes and hospices to home health, laboratories, pharmacies, and specialty physician groups. He is particularly adept at structuring innovative joint ventures between taxable and tax-exempt entities and designing transaction structures that align with evolving regulatory and commercial environments. Clients rely on Matt for practical, business-focused legal counsel during transformative periods in their organizations’ growth. In addition to his transactional work, he serves as outside general counsel to healthcare organizations, advising on both strategic transactions and day-to-day operational matters. Matt’s recent representations include advising on acquisitions involving multi-state healthcare platforms, hospice and home care consolidations, medical practice integrations, and large-scale health system affiliations. His deep understanding of healthcare regulation and private equity dynamics allows him to deliver efficient, value-driven results in complex deals.
