Andrew Hamilton Ellis is a partner in the Corporate & Securities and Mergers & Acquisition practices. He is also a member of the Logistics & Transportation industry team. Andrew represents public and private corporations, private equity funds, financial advisors, and boards of directors in mergers and acquisitions, and other strategic transactions, including tender offers, reorganizations, private placements, cross-border, and distressed M&A. He also regularly advises clients on federal securities laws compliance, corporate governance matters, anti-takeover measures, venture capital investments, and joint venture transactions, as well as general day-to-day corporate matters. Andrew has significant experience in strategic transactions involving privately-held and family-owned businesses; having guided family ownership groups and their financial partners through multiple exit transactions, as well as representing private equity and strategic buyers in similar transactions. Andrew has represented clients in a broad range of industries, including entertainment and sports, financial services, telecommunications, REITs and real estate, logistics, healthcare and life sciences, aerospace and defense manufacturing, energy, retail, and the Internet. Prior to practicing law, Andrew was a nationally-broadcast financial journalist for a Peabody Award-winning business news magazine.
