Michael Francis has extensive experience in public and private securities transactions, corporate governance and compliance matters, mergers and acquisitions, and private equity investments. Michael represents buyers, sellers, and investors in the structuring, negotiation, and closing of complex business transactions. Michael has advised private companies on numerous approaches to going public, including initial public offerings, domestic and international reverse recapitalization transactions with public shell companies, special purpose acquisition companies (SPACs), uplisting offerings, as well as Regulation A+ and broader private offerings under Regulation 506(c) and other crowdfunding mechanisms. Michael has guided boards and board committees through difficult governance matters and regulatory issues at both the state and federal levels and with the SEC, NYSE, Nasdaq Stock Market, OTC, FINRA, and other self-regulatory organizations. From 2004 to 2007 Michael served as Deputy General Counsel and Head of the Securities and Corporate Governance Group for the Lennar Corporation.
