Bio

David Waring is a Senior Managing Director of Evercore Partners based in London with over 30 years of corporate finance experience leading Evercore’s Energy Team in Europe, Middle East and Africa. Mr. Waring was previously a Partner and Managing Director at Lexicon Partners, the corporate finance advisory business which was acquired by Evercore in 2011. Mr. Waring has advised on a number of transactions including advising Saudi Aramco for 2.5 years on the preparation of its IPO; Eland on its UK public takeover by Seplat in 2019; New Age on its disposal of Marine XII to Lukoil in 2019 for $800m; Petrobras on its disposal of a stake in PGBV to Africa Oil in 2019; GMS on its public defence from a hostile approach by Seafox International and A&E in 2020; Borr Drilling on its A&E; Kosmos on its $1.2bn acquisition of DGE in the Gulf of Mexico; Hurricane Energy’s farmdown of its UK assets to Spirit Energy; Soco on its acquisition of Merlon Petroleum in Egypt for $220m; Hurricane Energy on its $500m Capital raise, Kosmos on its farm-out of assets in Senegal/Mauritania to BP, ENI’s Control and Risk Committee on the sale of a 12.5% stake in Saipem to FSI, New Age on its $425m debt capital raise, Ophir on its sale of its upstream Tanzanian assets to Pavillion for $1.3bn; the sale of TNK-BP to Rosneft for $32bn; the sale of various Oilfield Service companies including OEG and ASCO; the IPO of Ophir Energy on the London Stock Exchange; the restructuring of oilfield services company KCA Deutag; advising TNK-BP on its US$1.8bn acquisition of BP’s upstream assets in Vietnam and Venezuela; and advising the largest independent shareholder of Venture Production, 3i, in respect of the £2bn hostile takeover by Centrica PLC of Venture. Prior to joining Lexicon, Mr. Waring was a Managing Director at UBS Investment Bank, which he joined in 2005, where he was Head of the Energy, Power and Utilities Group in EMEA and a member of the Management Committee for UBS Investment Banking in EMEA. Prior to this Mr. Waring worked at Deutsche Bank and consolidated entities for 12 years where he was a Managing Director and Head of Energy from 2003 to 2005. During his time at UBS and Deutsche, Mr. Waring advised on a wide range of transactions in the oil and gas industry including the merger of Statoil and Hydro; nearly $10bn of acquisitions and divestments by BP: acting as defence adviser to Burren on the $3.5bn takeover by ENI; the restructuring of Shell; the IPOs of both Petroplus in Switzerland and Eurasia Drilling in London; the acquisition of Encana UK by Nexen; the disposal of Ingolstadt refinery in Germany by ExxonMobil. In his oil and gas focused advisory career, Mr. Waring has also worked for Wood Mackenzie as a senior strategic consultant and for Robert Fleming Corporate Finance.
