Bill Anderson, a senior managing director, heads global Activism/Raid Defense and the Strategic, Defense & Shareholder Advisory practice. Mr. Anderson advises companies worldwide across all industries in connection with M&A, special committee situations, corporate governance issues, cross-border transactions, contested shareholder situations and preparing for hostile activity. Notable M&A and spinoff transactions include Anadarko/Occidental Petroleum, Bristol-Myers Squibb/Celgene, Cimarex Energy/Cabot Oil & Gas, CoreLogic/Stone Point, Envision Healthcare/KKR, Grubhub/Just Eat Takeaway.com, Jazz/GW Pharmaceuticals, Medivation/Sanofi, MTS Systems/Amphenol, Pinnacle Foods/Conagra Brands, Qualcomm’s defense against Broadcom’s hostile bid, United Technologies/Raytheon, WageWorks/HealthEquity and Whole Foods Market/Amazon.com. Prior to joining Evercore, Mr. Anderson led Goldman Sachs’ activism and raid defense as a partner in the firm’s M&A group. He pioneered the practice of activism defense and has advised over 400 companies facing activists or strategic raids, including many of the largest proxy fights and raid defenses over the past two decades. He previously was an M&A attorney for Simpson Thacher & Bartlett, clerked on the U.S. Court of Appeals, Second Circuit, was a CPA for Coopers & Lybrand and served as a Captain in the U.S. Army Reserve. He is the co-head of Evercore’s Veterans Network. Mr. Anderson earned a Juris Doctor (magna cum laude and Order of the Coif) and a B.S.B.A. in accounting and history (magna cum laude) from Georgetown University. He has published articles and speaks frequently on M&A, hostile activity and board/shareholder matters.
