Chris Williams is a corporate attorney with extensive experience in corporate securities, mergers and acquisitions, transactional and compliance areas including public offerings and private placements of equity and debt securities, mergers, acquisitions and dispositions of public and private companies, public company reporting, disclosure and compliance, including Forms 10-K, 10-Q, 8-K and proxy statements. He also has experience with tender offers, going private transactions and exchange offers, venture capital transactions, startup formation and financing, software, technology, consulting, intellectual property licensing and joint development agreements. Chris has handled pre-merger notification requirements under the Hart Scott Rodino Act and preparation of required filings with the FTC and DOJ. For more than 25 years, Chris has represented public and private companies with respect to a broad range of corporate governance issues, including drafting and negotiating registration rights, stockholder, co-sale and related investment agreements and documentation, managed and coordinated multidisciplinary legal teams for complicated transactional matters, provided corporate secretary duties, including providing counsel directly to boards of directors and C-level executives. He has also designed, developed and implemented corporate compliance and reporting programs, codes of conduct, insider trading policies, whistleblower policies and document retention programs.
