Bio

John Tolmie has been an investment banker and businessman for almost 25 years. Mr. Tolmie is a Managing Director involved in all phases of Cypress’ business, including mergers and acquisitions advisory services, restructuring and bankruptcy advisory, capital raising and litigation consulting. Mr. Tolmie has worked on many of Cypress’ most high profile transactions, including Energy Transfer Partners’ acquisition of Titan Energy, the purchase by COM DEV International’s acquisition of the passive microwave devices product line from L-3 Communications, the trust preferred offering of Reading International, ITI Group’s sale of its controlling stake in Grupa Onet (Internet portal) to TVN, the sales of numerous physician practice management businesses, the restructuring and sale of ChemRx, the §363 acquisition of PJ Finance by Gaia Real Estate, the management buyout of Case Pomeroy & Co., representing the Special Committee of Aristotle Corporation in its proposed sale to Geneve Corporation, Cenveo’s sale of Supremex to the Supremex Income Fund, representing the 100% equity owner in the Chapter 11 case of Venture Industries and representing the Official Committee of Unsecured creditors of Ingersoll. Mr. Tolmie has worked on every fairness opinion issued by Cypress and is a member of Cypress’ management committee. Mr. Tolmie has also worked on a wide range of complex litigation consulting assignments including the Activision derivative litigation resulting in the largest derivative settlement ever, AIM Midstream’s litigation against ArcLight, the defense of Inergy LP against shareholder litigation and the Just Care appraisal litigation. Mr. Tolmie has also been an integral part of all of Cypress’ work on behalf of the United States, representing the Justice Department in the Enbridge Energy and Eagle Materials litigations and the Internal Revenue Service in the Bellmore, Survilla, Marshall and PMG litigations. Mr. Tolmie joined Cypress following his employment at OutPurchase.com, a business-to-business internet supplier where he was Vice President in charge of Corporate Development. At OutPurchase, Mr. Tolmie was heavily involved in the capital raising process and development of strategic relationships with marketing partners including American Express, ADP, All Bases Covered and Epicor Software. Prior to OutPurchase, Mr. Tolmie was an Associate in the investment banking group of Furman Selz LLC where he focused primarily on M&A and financial sponsor coverage in a wide range of industries, including media and entertainment, insurance and industrial manufacturing. Representative M&A transactions include the sale of United Video Satellite Group to TCI, the sale by General Electric of Patrick Media Group to Eller Media and Hellman & Friedman, the sale of Mauna Loa Nut Corp. to the Shansby Group, the sale of Titan Holdings to USF&G, the acquisition of Financial Benefit Group by AmVestors and the sale of Naegle Outdoor Advertising to Universal Outdoor. Other transactions included initial public offerings and other financings for Young & Rubicam, CCA Holdings (a subsidiary of Charter Communications), Teltrend, Kuhlman Corp. and Genesee & Wyoming. Mr. Tolmie also performed a large number of valuation analyses, both for fairness opinions and for other purposes. Mr. Tolmie received his B.A. Cum Laude from Harvard College.
