Manuel Pesendorfer Bio

Manuel is a corporate and securities attorney with extensive experience in advising high-growth startups throughout all phases of their corporate lifecycle. Notably, he has represented clients in numerous venture capital financings, mergers and acquisitions, crowdfunding financings (i.e., Reg CF and Reg A), private placements, secondary transactions, recapitalizations, and other complex corporate restructurings. Manuel also frequently serves as outside general counsel to his clients, providing practical business and legal advice across a broad range of areas, including corporate governance, equity compensation, employment, and commercial contracts. In addition, Manuel’s practice extends to the investor side, where he represents venture capital, private equity, and crypto firms in matters including fund formation, capital raises, and investments in portfolio companies and projects. Predominantly representing technology startups, Manuel has advised clients across a wide array of industries, including artificial intelligence, fintech, SaaS, healthtech, legaltech, proptech, and consumer goods. He has also been deeply engaged in the blockchain and web3 ecosystem since 2018, providing counsel on securities law matters related to digital assets, digital securities offerings, venture capital financings involving token exposure, token distributions, and the structuring and governance of DeFi protocols, DAOs, NFTs, airdrop sales, and stablecoins.
