Leanne Krawchuk Bio

Leanne C. Krawchuk, KC is a partner in the Edmonton office and the National Leader of Dentons Canada’s Corporate group, as well as a member of the Firm’s National Management Committee. She is also a member of the Dentons Canada Mining Group Advisory Committee. Leanne routinely advises mining producers on commercial and other mining legal matters. She is involved in the negotiation and drafting of multi-million dollar supply agreements, security of supply agreements, streaming agreements, refinery agreements and option agreements involving precious metals, critical minerals, and base and industrial metals. Leanne has been involved in significant M&A mining transactions and assignments and transfers in respect of mining projects in Canada and abroad, including acting for purchasers acquiring Canadian mining assets in distressed mining scenarios. Leanne’s M&A practice involves providing advice to clients on mergers, acquisitions and sale transactions, including plans of arrangement, reverse takeovers, reorganizations and amalgamations. She also assists both public and private issuers, including municipalities, in raising capital through private placements, public offerings, venture capital financings and commercial paper offerings. She also interacts with the stock exchanges and other securities regulatory authorities in Canada in connection with various applications on behalf of reporting issuers and exempt market dealers. Leanne’s expertise relates to the drafting, negotiation and integration of complex large-scale construction contracts and related procurement processes for a wide range of industry sectors. She advises owners, contractors, consultants and subcontractors regarding risk allocation and mitigation strategies in contract negotiations. She has significant experience with all forms of CCDC contracts and the preparation of supplementary conditions, as well as the preparation of bespoke construction, procurement and consulting contracts for project owners and advising on the implementation and management of their procurement strategies. Leanne is routinely involved in the negotiation and drafting of commercial agreements relating to the establishment of joint ventures and other strategic partnerships, unanimous shareholder agreements, construction contracts, including subcontracts, procurement contracts and long term supply, offtake and purchase agreements. Leanne represents clients in the mining, construction, engineering, oilfield service and technology industries.
