Paul Tauber Bio

Paul Tauber brings wide-ranging transactional experience to his corporate clients, which include fast-paced, innovative businesses across a variety of industries, including medical and health technologies, software, semiconductors, and financial technologies (FinTech). Often serving as outside general counsel, Paul provides strategic counsel on a broad range of matters, with a particular focus on corporate finance, joint ventures, intellectual property licensing, and mergers and acquisitions. Paul represents businesses at all stages of growth—from startups to publicly traded multinational enterprises. He has significant experience in corporate financing transactions, including equity financings and a wide array of debt instruments such as convertible, asset-based, and unsecured debt, as well as drafting and negotiating the associated agreements. Many of Paul’s clients are based overseas, and a substantial portion of his practice involves structuring, negotiating, and documenting international business transactions. He frequently advises foreign entities establishing, investing in, or partnering with U.S. businesses. With significant experience in technology transactions, Paul advises clients on the licensing of technology and other intellectual property, as well as on data privacy issues. His transactional work also includes advising on the establishment and governance of joint ventures and strategic alliances, and he routinely handles complex agreements involving manufacturing, reseller arrangements, professional services, and SaaS agreements. In addition, Paul counsels boards of directors on fiduciary duties and corporate governance matters. Paul is a member of the Pacific Council on International Policy, the American Bar Association, the California Bar Association and the Bar Association of San Francisco. He is admitted to the bar of the United States Supreme Court and the United States Court of International Trade. Paul is Chair of the Governance and Code of Conduct Committee for the TAG Alliances, an esteemed international multidisciplinary alliance of independent professional services firms including law firms and accounting firms. He serves on the Board of Directors of InPlay, a non-profit that connects families with summer and after-school programs to support success in school and in life.
