Randy Sterns Bio

Randy Sterns has extensive experience representing entities that seek financing, forming broker-dealer firms, investment and loan funds, as well as representing financial institutions, credit union service organizations, public and private companies. Mr. Sterns’ transactional practice has focused on assisting clients comply with their federal and state securities law reporting, compliance and disclosure obligations and advising public and private companies. Mr. Sterns has assisted clients structure stock equity plans, incentive stock option and nonqualified equity plans, management bonus plans, incentive and deferred compensation arrangements and employment agreements for public, private and tax-exempt entities. He has also advised clients structure and launch real estate, mortgage loan and technology focused investment funds, hedge funds, and investment entities. Mr. Sterns also advises clients in intellectual property matters relating to the use, registration of and maintenance of trademarks and he regularly advises clients in connection with licensing, supply, manufacturing, distribution and non-disclosure agreements designed to protect their intellectual property rights. Mr. Sterns also represents tax-exempt organizations including charities, private and charter schools, foundations, social service entities, supporting and religious organizations with regards to formation issues, mergers, planned giving, securities and bond offerings, financing transactions, the acquisition and expansion of facilities, and he assists public charities in administering, documenting and structuring charitable gifts, trusts and agreements, furnishes advice regarding private inurement, private benefit, conflict of interest and fiduciary issues and assists tax-exempt entities structure and implement strategies involving the use of affiliated entities.
