Tyler Mark is a trusted advisor and counselor to numerous publicly traded and private companies with respect to a variety of securities law matters, including capital markets transactions, SEC reporting, proxy disclosures, and stock exchange requirements as well as a wide range of corporate governance matters and fiduciary duty issues for directors and special committees in connection with significant corporate transactions and shareholder disputes. He has also been engaged as an expert to provide testimony concerning corporate governance and fiduciary duty issues under Colorado law. Tyler represents clients ranging from small start-ups to Fortune 100 companies and regularly leads teams of all sizes on an array of strategic transactions, including public and private offerings of debt and equity securities, tender offers, spin-offs, both friendly and unsolicited takeover offers, and public and private mergers, acquisitions, sales, and restructurings. Tyler has developed specialized and diverse experience managing shareholder activism matters, including the development of takeover defenses. In recent years, Mr. Mark has handled offerings of a variety of debt and equity securities, including hybrid securities, totaling more than $15 billion. He represents clients across a spectrum of industries, including technology, agriculture, healthcare, hospitality, retail, and manufacturing. Prior to joining the firm, Tyler was a corporate associate at an international law firm in Chicago. He received his J.D. in 2010 from Georgetown University, where he was the executive editor of The Georgetown Law Journal, and his B.A. in history and international studies in 2005 from Northwestern University, graduating cum laude from both.
